Terms of Service & Merchant Agreement

Please review this Merchant Agreement and Terms of Service carefully before connecting your WhatsApp Business, Facebook Messenger, or Instagram channels to AriseSell's AI Conversational Commerce ERP.

1. Acceptance of Terms & Merchant Qualification

By creating an account, registering a store, connecting an official Meta WhatsApp Business number, Facebook Page, or Instagram account, accessing the Seller Console, or invoking the AriseSell API, you enter into a legally binding commercial agreement with AriseSell ('we', 'us', or 'the Platform').

Merchant Qualification: Unlike consumer messaging tools, AriseSell is an enterprise conversational commerce platform engineered for commercial merchants. You represent and warrant that: (a) You are at least 18 years of age; (b) You operate an authorized retail, wholesale, or e-commerce business in accordance with the National Digital Commerce Policy of Bangladesh; (c) You hold all required legal permissions to sell your catalog items; and (d) If agreeing on behalf of an enterprise or partnership, you possess the full legal power to bind that entity.

2. Description of Services & Conversational Commerce Architecture

AriseSell delivers an end-to-end Conversational Commerce Operating System engineered to run the entire sales lifecycle—from social chat to courier doorstep delivery. Our platform architecture comprises:

Official Meta Cloud API integration (WhatsApp Business Platform, Messenger, Instagram Direct)
Multimodal Vision AI for matching customer photo uploads & screenshots to catalog SKUs
Automated 11-digit phone (013-019) & 64-district geo-address validation engine
Steadfast Courier & Pathao Hermes API 1-click & auto-dispatch consignment booking

Comment-to-DM automation, multi-shift team inbox (/console/inbox), and branded Bangla digital invoices with bKash direct payment links are included within supported tiers.

3. Merchant Accounts, Multi-Tenant Stores & Permanent Identity

User Account Permanence: Your personal identity account (Email, Password, Google OAuth, 2FA credentials) is a permanent anchor on AriseSell. A single merchant account can manage one or multiple independent stores in accordance with your subscription plan.

Multi-Store Isolation: Each registered store maintains independent catalogs, channel webhooks, courier credentials, customer conversation threads, and order records with strict cryptographic isolation.
Role-Based Team Seats: Merchants can invite staff members across specific roles (Owner, Manager, Agent, Staff). The total active seats permitted per store are determined dynamically by your subscription tier.
Credential Security: You are strictly responsible for maintaining the confidentiality of your credentials, Meta system tokens, and courier API keys. Any action taken under your authenticated console is legally attributable to you.

4. Acceptable Commercial Use & Meta Compliance

You agree to operate your store and automated messaging in strict compliance with these Terms, Meta Platform Terms, WhatsApp Business Policies, and the laws of Bangladesh. You agree NOT to:

  • ✕Send unsolicited promotional spam, bulk cold broadcasts, or violate Meta's 24-hour customer service messaging window without pre-approved templates.
  • ✕Market counterfeit goods, illegal narcotics, unlicensed pharmaceuticals, firearms, adult materials, or fraudulent lottery/MLM schemes prohibited under Bangladesh law.
  • ✕Deceive buyers with fake pricing, artificial order inflation, false courier tracking claims, or phantom inventory.
  • ✕Attempt to reverse engineer, scrape, tamper with webhook payloads, or place artificial load on AriseSell's AI inference infrastructure.

Any violation of these acceptable use policies warrants immediate suspension without refund and potential reporting to law enforcement and Meta Platforms.

5. AI Sales Engine, Multimodal Vision & Anti-Hallucination Guardrails

AriseSell incorporates specialized Bangladeshi Conversational AI fine-tuned on colloquial Bangla, Banglish phonetic text, and regional shopping vernacular (including Chittagonian and Sylheti phrasing). While our AI engine features state-of-the-art anti-hallucination protocols:

  • Catalog Boundary Strictness: The AI assistant is strictly constrained by your uploaded catalog prices, size/color variant matrices, and knowledge base rules (/console/brain). It will never invent non-existent discounts or promise unapproved delivery timelines.
  • Visual Product Matching: Multimodal Vision AI compares buyer-sent product screenshots against your catalog vector embeddings. If the visual confidence is below standard thresholds, the AI prompts the buyer for clarification or escalates to a human agent.
  • 1-Click Human Takeover: Merchants retain full live oversight. At any time via /console/inbox, a human teammate can pause the AI agent and converse directly with the customer.

6. Subscription Plans, Dynamic Hybrid Quota & Billing Policy

AriseSell provides flexible subscription tiers tailored to growing online businesses. Each plan includes a designated quota of Monthly AI Messages/Conversations, store allowances (max_stores), and team member seats (max_seats) as configured directly in the database.

Hybrid Quota Architecture: Each tier enforces structured resource ceilings: maximum connected stores (max_businesses), team member seats (max_team_members), and monthly AI messaging capacity (messageLimit). Plan upgrades apply immediately with real-time provisioning.
Quota Management & Uninterrupted Service: If your customer chat traffic approaches your monthly messaging limit, flexible top-up options or tier upgrades ensure your store messaging never experiences sudden shutoffs.
Bangladeshi Payment Gateways: Subscriptions are billed in Bangladeshi Taka (BDT) via bKash, Nagad, or debit/credit cards with instant VAT-compliant digital invoices.

7. Courier Logistics, COD Direct Settlements & Payment Gateways

Direct Courier Booking: AriseSell provides high-speed API connections to licensed courier logistics providers in Bangladesh, including Steadfast Courier and Pathao Hermes Express. When an order is confirmed, our engine creates the consignment directly in your courier account.

Direct COD Settlement: 100% of Cash-on-Delivery (COD) collected from your buyers is deposited directly by Steadfast or Pathao into your own merchant bank account or bKash wallet. AriseSell NEVER touches, holds, intercepts, or skims your courier funds.
Courier Operational Independence: Physical parcel handling, delivery speed, doorstep cash collection, and transit loss compensation are governed by your direct merchant agreement with Steadfast or Pathao. AriseSell is responsible solely for the software API integration.

8. Data Ownership, Catalog Sovereignty & Intellectual Property

Merchant Data Sovereignty: You retain 100% unencumbered ownership of your product catalog, media photos, descriptions, brand trademarks, customer contact lists, delivery addresses, and revenue records.

No Data Monetization or Public Model Training: AriseSell will NEVER sell, monetize, rent, or share your proprietary catalog, wholesale pricing, or customer phone records with any third party, ad network, or competing merchant. Your customer conversation logs are processed solely to execute automated sales on your behalf.

AriseSell Intellectual Property: All rights, title, and interest in AriseSell's proprietary software engine, machine learning orchestration algorithms, console user interfaces, and brand marks remain the exclusive property of AriseSell.

9. Service Level Commitment (SLA) & Limitation of Liability

Service Availability: AriseSell targets a 99.5% monthly uptime SLA across our core webhooks, AI inference gateway, and Seller Console, excluding scheduled maintenance announced with at least 24 hours advance notice.

Limitation of Liability: To the maximum extent permitted by applicable law, AriseSell's total aggregate liability arising out of or relating to your use of the service shall in no event exceed the total subscription fees actually paid by you to AriseSell in the three (3) months preceding the incident.

AriseSell shall not be held liable for indirect, incidental, or consequential losses, including lost sales resulting from upstream Meta platform outages, carrier SMS delivery delays, or courier delivery rejections.

10. Store Lifecycle, Cancellation, Downgrades & Danger Zone

Subscription Cancellation: You may cancel your active subscription at any time via the console billing settings. Your access continues until the end of your prepaid period with zero automated renewal penalties.

Danger Zone Store Purge: When an owner initiates a store deletion ('Delete Store'), all store-specific dependencies (channels, catalog products, conversation threads, courier tokens, orders) are cleanly and permanently deleted. However, your master User Account survives with user.business_id = null, redirecting to choose a plan or create a new brand whenever you wish.
Downgrade Reconciliation: When downgrading from a higher multi-store or multi-seat plan to a lower tier, our console provides a reconciliation modal allowing you to select which active stores and team seats to retain.

11. Governing Law & Dispute Resolution (Dhaka, Bangladesh)

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, including the Information and Communication Technology (ICT) Act 2006, Cyber Security laws, and the National Digital Commerce Standard Operating Procedure 2021.

Informal Dispute Resolution: In the event of any controversy or dispute, the parties agree to first engage in good-faith amicable negotiation for a minimum period of thirty (30) business days. If unresolved, any legal proceeding shall be subject to the exclusive jurisdiction of the competent civil courts of Dhaka, Bangladesh.
